1. Agreement to Terms

By accessing or using Aphenos' healthcare price transparency platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all users, including employers, HR professionals, benefits consultants, and affiliate partners who access our platform containing pricing data for over 786,000 medical procedures.

2. Description of Service

Aphenos provides:

• Healthcare procedure price transparency data from hospitals and providers
• Cost comparison tools for self-insured employers
• HR dashboard for healthcare spend management
• Savings calculations and ROI reporting
• Direct contract pricing information (not insurance rates)
• API access for enterprise integrations
• Affiliate partnership opportunities

3. Account Registration

To access certain features, you must register for an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain and update your information to keep it accurate
• Maintain the security of your password and account
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion.

4. Subscription and Pricing

Our service is offered under the following pricing model:

• Base Rate: $50 per employee per year
• Minimum annual commitment: $2,500
• Enterprise pricing: Custom quotes for 1,000+ employees
• API access: Additional fees may apply
• Payment terms: Annual or monthly billing available

Prices are subject to change with 30 days notice. All fees are non-refundable except as required by law.

5. Acceptable Use Policy

You agree not to:

• Use the Service for any unlawful purpose or in violation of any regulations
• Attempt to gain unauthorized access to any portion of the Service
• Interfere with or disrupt the Service or servers
• Scrape, copy, or redistribute our data without permission
• Misrepresent your affiliation with Aphenos
• Use the Service to transmit malware or harmful code
• Violate any third party's rights or privacy
• Resell or sublicense the Service without authorization

6. Intellectual Property Rights

The Service and its original content, features, and functionality are owned by Aphenos and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Our proprietary data includes:

• Aggregated pricing data from 786,000 procedures
• Algorithms for cost analysis and savings calculations
• HR dashboard designs and functionality
• API documentation and integration methods

7. Data Accuracy Disclaimer

While we strive to provide accurate and up-to-date healthcare pricing information, we make no warranties about the completeness, accuracy, or reliability of any data. Healthcare prices are subject to change and may vary based on numerous factors including:

• Insurance coverage and negotiated rates
• Provider contracts and agreements
• Geographic location and facility type
• Procedure complexity and additional services

Users should verify pricing directly with providers before making healthcare decisions.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, APHENOS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

• Your use or inability to use the Service
• Any unauthorized access to your data
• Errors or inaccuracies in pricing data
• Healthcare decisions made based on our information
• Any third-party services accessed through our platform

Our total liability shall not exceed the amount paid by you in the past 12 months.

9. Indemnification

You agree to defend, indemnify, and hold harmless Aphenos, its officers, directors, employees, and agents from any claims, damages, obligations, losses, liabilities, costs, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

10. HIPAA and Healthcare Compliance

Aphenos is designed to handle healthcare pricing data without accessing Protected Health Information (PHI). For enterprise clients requiring HIPAA compliance:

• Business Associate Agreements (BAAs) are available upon request
• We maintain appropriate safeguards for any incidental PHI exposure
• Users must not submit patient-specific health information
• Compliance with all applicable healthcare regulations is required

11. Affiliate Program Terms

If you participate in our affiliate program:

• Commissions are paid according to our affiliate agreement
• You must comply with FTC disclosure requirements
• Misrepresentation of our services is prohibited
• We reserve the right to modify commission structures
• Fraudulent referrals will result in termination

12. API Terms

If you access our API:

• Rate limits apply (specified in documentation)
• API keys must be kept confidential
• Commercial use requires a separate agreement
• We may modify or discontinue API access with notice
• Caching of data must comply with our guidelines

13. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination:

• Your right to use the Service will cease immediately
• We may delete your account and associated data
• Provisions that should survive will remain in effect
• No refunds will be provided for unused subscription time

14. Governing Law and Disputes

These Terms shall be governed by the laws of the State of Illinois without regard to conflict of law provisions. Any disputes shall be resolved through:

• Good faith negotiations between parties
• Mediation in Chicago, Illinois if negotiations fail
• Binding arbitration under AAA rules if mediation fails
• Class action waiver applies to all disputes

15. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified via email or platform announcement with at least 30 days notice. Continued use after changes constitutes acceptance.

16. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
